Term of Services

This Terms of Service Agreement ("Agreement") is between Ethel Zu ("the Artist") and you ("the Client") for the commission of an artwork ("Work").
By commissioning the Artist, the Client agrees to the following terms:

General• The Artist reserves the right to decline any commission without the need for detailed explanation.• The Artist reserves the right to cancel the commission if the Client's behavior is problematic or inappropriate.• All commissions are digital files. No physical items will be provided or shipped.

Completion Time• The time required to complete the artwork varies based on the complexity and current workload. Generally ranging from 3 days to 3+ months. The Client will be informed if any delays occur.• The Artist will provide updates at key stages of the project and may seek feedback. This ensures the final work aligns with the Client’s vision.• Upon completion, the artwork will be delivered in the agreed formats (PNG, JPEG).• Number of Revisions:
The Client is entitled to one revision at each major stage of the process (e.g., after the sketch phase). Additional revisions may incur extra charges.
• Minor Adjustments:
After completion, minor changes (e.g., color tweaks) are typically free, but significant alterations may require additional fees.

Rights & Usage• By default, the Artist retains copyright and intellectual property rights to the commissioned artwork. The Artist may use the artwork for self-promotion, including displaying it in portfolios, social media, or other promotional materials.• The Client may use the commissioned artwork for personal, non-commercial purposes, such as social media display, with proper credit to the Artist. The Client must not claim ownership or authorship of the artwork.Commercial Use: If the Client wishes to use the artwork for commercial purposes (e.g., monetized platforms, merchandise), this must be agreed upon separately. Commercial usage rights may require additional fees depending on the scope of use.• 1x price, personnal use
• 2x price, commercial use when the artwork is not the bulk of the product (promotional material, CD cover, game assets, social media artwork, etc.)
• 3x price, commercial use when the artwork is the bulk of the product
(body pillow, postcard, merchandise, etc.)
YouTube, Patreon and any ad-supported site count as commercial use. (banner, avatar, using art in videos)

Confidentiality• Both the Artist and Client agree to keep any personal, financial, or sensitive information exchanged during the commission process confidential. This information will not be shared with third parties without explicit permission.• The Client indemnifies the Artist against any claims, losses, or damages related to the use of the commissioned artwork or any breach of this agreement.

Engagement• Client must provide clear, detailed requirements and reference materials before the project begins. This helps avoid misunderstandings and ensures the final work meets expectations.• By commissioning, the Client grants the Artist non-exclusive rights to use their provided designs, references, and other intellectual property for the creation of the commissioned artwork.• The Client confirms that any materials provided (such as character designs or reference images) are legally obtained and authorized for use.• The Artist commits to producing original work. While the Artist may use commercially licensed or copyright-free resources, they will not copy or heavily reference unauthorized materials.• Artist warrants that they will not copy or heavily reference unauthorised materials.• The Artist will define the scope, features, price, and deliverables in a proposal. The Client must agree to these details before work begins. This can be done through communication platforms such as Discord, Twitter, or email.Content Restrictions• The Artist will not create content that is explicit, offensive, or inappropriate. Specific restrictions may include [ Furries, mechs, explicit adult content, underage characters, excessive muscles, gore, copied styles, and gender identities or cultures the Artist may not be able to portray authentically.].

Payments & Fees• Payment details will be agreed upon before work begins. Depending on the project’s value, full payment or a deposit may be required upfront. The remaining balance, if applicable, is due upon completion or at a significant project milestone.• Payments are made in EUR via PayPal, or others as provided by the Artist.Cancellation & Refunds
• Any deposit paid to secure the commission is non-refundable unless the Artist cancels the project.
Refunds are not offered for commissioned artwork unless agreed upon by both parties under exceptional circumstances. The Artist will make reasonable efforts to address any concerns or issues raised by the Commissioner.• If the Artist is unable to complete the commission due to unforeseen circumstances, a full or partial refund will be provided based on the amount of work completed.• If the costumer fails to keep contact for a long time (2 weeks+), the commission will be dropped.

Prohibited Use: The Client may not use the artwork for AI training, NFTs, or any other blockchain-related activities.

By commissioning the Artist, the Client confirms they are at least 18 years old or have the consent of a legal guardian. Payment of the invoice sent by the Artist implies acceptance of these terms and conditions.
